1. Acceptance of Terms

By accessing or using the services provided by SuperCala LLC ("SuperCala," "we," "us," or "our"), including our website at supercala.ai, AI receptionist, scheduling tools, SMS notifications, and any related services (collectively, the "Services"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our Services.

2. Description of Services

SuperCala provides AI-powered business tools for small businesses, including:

• AI receptionist for handling inbound phone calls
• Automated appointment scheduling and calendar management
• Lead capture and customer relationship management
• SMS notifications (appointment reminders, confirmations, follow-ups, and service updates)
• Web-based chat assistant

3. User Responsibilities

When using our Services, you agree to:

• Provide accurate and complete information
• Use the Services only for lawful purposes
• Not attempt to interfere with or disrupt the Services
• Not reverse-engineer, decompile, or disassemble any part of the Services
• Comply with all applicable laws and regulations

4. AI-Generated Content

Our Services use artificial intelligence to generate responses during phone calls, chat interactions, and other communications. While we strive for accuracy, AI-generated content may occasionally contain errors or inaccuracies. SuperCala does not guarantee the accuracy, completeness, or reliability of AI-generated content. Users should verify critical information independently.

5. Third-Party Financial Data (Plaid, SnapTrade, and Your Institution)

Our financial products (MyNetWorth, LedgerPilot) receive your bank and brokerage data through third-party intermediaries — Plaid Inc. ("Plaid") and Passiv Technologies Inc., d/b/a SnapTrade ("SnapTrade"). When you link an account, the following applies:

• Read-only access. We receive balances, holdings, positions, and (where applicable) transactions. We do not place trades, transfer funds, or initiate any action on your account. Plaid and SnapTrade are configured for data-read access only.
• Your institution's terms prevail. Your bank or brokerage may present its own data-sharing authorization when you connect (for example, Fidelity's authorization identifying SuperCala LLC as a "Data Recipient" and SnapTrade as an "Intermediary," with the sharing occurring at your sole risk as determined by the institution). Those authorizations, together with any disclaimers, waivers, and limitations of liability the institution imposes, are between you and your institution. Nothing in these Terms overrides them, and by proceeding you confirm you have read and accepted your institution's terms.
• Accuracy is pass-through. We display what the intermediary sends us. We do not independently verify balances, cost basis, position quantities, prices, or transaction categorizations. Values may lag your institution's view, may not reflect same-day corporate actions or pending trades, and may differ in how lots, accrual, or currency conversion are computed. Do not place trades, file tax returns, or make material financial decisions based solely on the numbers shown in our Services — reconcile against your institution's own statements.
• No fiduciary, advisory, or broker-dealer role. Your use of our Services does not create a fiduciary, broker-dealer, investment-adviser, tax-adviser, or accounting-adviser relationship between you and SuperCala. Our net-worth displays, categorizations, and AI-assistant answers are informational. We are not your financial institution, and we cannot modify or waive any contract between you and your financial institution.
• Revocable. You may disconnect any linked account at any time from within the application. Disconnecting revokes the provider credential, stops further data retrieval, and deletes the associated balances, holdings, and transactions we stored. 6. Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and the underlying AI models, are the exclusive property of SuperCala LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of our Services without our prior written consent.

7. SMS Communications

By providing your phone number and consenting to receive SMS messages, you agree to the terms outlined in our SMS Terms. You may opt out at any time by replying STOP to any message.

8. Privacy

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SUPERCALA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WITHOUT LIMITING THE FOREGOING, SUPERCALA MAKES NO WARRANTY REGARDING THE ACCURACY, TIMELINESS, OR COMPLETENESS OF ANY FINANCIAL DATA OBTAINED THROUGH PLAID, SNAPTRADE, OR ANY OTHER THIRD-PARTY INTERMEDIARY.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SUPERCALA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You expressly acknowledge that when you authorize a financial institution to share your data with us (directly or through an Intermediary such as Plaid or SnapTrade), any disclaimers, waivers, or limitations of liability that institution imposes on you remain binding between you and the institution and are not waived, modified, or assumed by SuperCala under these Terms. SuperCala does not represent your financial institution and cannot alter its contracts. You agree not to assert against SuperCala any claim that arises out of your financial institution's own acts or omissions or out of the accuracy of data the institution transmitted to us.

11. Indemnification

You agree to indemnify and hold harmless SuperCala LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Services or your violation of these Terms.

12. Modifications

We reserve the right to modify these Terms of Use at any time. We will notify you of material changes by posting the updated terms on this page. Your continued use of the Services after any changes constitutes acceptance of the revised terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.
